Terms of Service
1. Definitions
Customer means any person who accepts this Agreement and uses our software, products, services, websites, or mobile apps. WSAPME and Customer are each referred to as a “Party” and collectively as the “Parties”.
End Users means the customers of the Customer.
WSAPME Software means the chatbot technologies, dashboard, and APIs created or designed by WSAPME.
WSAPME Dashboard means the online portal through which the Customer controls settings, selects a plan, and monitors usage of the Account.
WSAPME Services means our software, mobile apps, products, services, and websites.
Updates means enhancements, bug fixes, updates, and new versions made to the WSAPME Software.
Applicable Laws means all laws, regulations, directives, treaties, conventions, and judicial or administrative decisions applicable to the Services and their use.
Support means community-based help forums and fee-based individualized support provided by WSAPME.
Website means the website located at https://web.wsapme.com/.
2. Agreement Between You and WSAPME
Please read these Terms of Service carefully. By accessing our website and/or using WSAPME Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy.
In order to use the Service, you must agree to these Terms, either by clicking acceptance boxes where provided or by actually using the Services.
3. General Terms & Conditions
- WSAPME is legally registered in Malaysia and operates under the required permissions to provide its services.
- Our Services should only be used by adults, and you and your users must be at least 18 years old.
- You are responsible for maintaining the security of your account and all activity occurring under your identity.
- You are responsible for all content posted and activity that occurs under your usage of the service.
- Abuse, threats, or improper behaviour towards our team may result in immediate action by the company.
- These Terms constitute the entire agreement between you and the Company and supersede prior agreements related to the Service.
- WSAPME grants you a non-exclusive, non-transferable, revocable, worldwide license to access and use the Services for your end users.
- Any free trial period remains subject to this Agreement and applicable laws.
4. Accounts
In order to use the Service, you must register for a WSAPME account. By opening an Account, you represent and warrant that you are at least 18 years of age and that all information submitted is true, accurate, current, and complete.
You are solely responsible for maintaining the security and confidentiality of your account details, including your username and password, and for any activity that occurs through your Account.
5. Pricing & Payment
- Fees for WSAPME services are payable on a subscription basis and vary depending on the services selected.
- Billing currency supported by WSAPME is RM.
- Unless otherwise stated, all charges exclude SST/GST and any other taxes or duties imposed by tax authorities.
- WSAPME reserves the right to change fees at its sole discretion and will inform the Customer within a reasonable time.
- All invoices must be prepaid in advance to use the service.
- We do not offer refunds under the current payment terms.
6. Service Availability & Support
We shall make the Services available to you and your users under this Agreement and provide Support via our email and website. We aim to keep services available 24 hours per day, 7 days per week, except during planned downtime or events outside our reasonable control.
Technical support is generally provided during working hours from 9AM to 9PM AEST.
7. Privacy, Security and Confidentiality
We use your data only as permitted by privacy laws, our Privacy Policy, and this Agreement. You acknowledge that you have read our Privacy Policy and understand how we collect, store, use, and disclose your data.
Both parties agree to protect confidential information and only disclose it on a need-to-know basis or where required by law.
8. WSAPME's Proprietary Rights
WSAPME owns all legal rights, title, and interest in and to the Services, including intellectual property rights, branding, trademarks, domain names, software, interfaces, text, and visual design. All rights not expressly granted are reserved by WSAPME.
9. Service Use Restrictions
You agree not to disable or circumvent security mechanisms, gain unauthorized access, scrape or copy the Service, distribute malware, impersonate others, or use the Service for illegal purposes.
Each workspace is intended to serve one business per workspace. Messaging records may be retained only for certain periods according to service policy.
10. Your Content
You are solely responsible for any information, content, or data that you store, transmit, record, or otherwise use in connection with the Service. Content must not violate laws, third-party rights, or these Terms.
WSAPME may monitor, flag, filter, refuse, or remove content that violates these Terms or applicable laws.
11. Feedback
Any feedback, comments, ideas, or suggestions sent to WSAPME may be used by WSAPME without obligation, attribution, or compensation to you.
12. Exclusion of Warranties
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
13. Limitation of Liability
To the maximum extent permitted by law, WSAPME and its representatives shall not be liable for indirect, incidental, punitive, consequential, or special damages arising out of or in connection with the Services or these Terms.
14. Indemnification
You agree to defend, indemnify, and hold harmless WSAPME, its affiliates, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from your use of the Services or violation of these Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of Malaysia. Any dispute arising in connection with these Terms shall be referred to and finally resolved in accordance with Malaysian law.
16. Miscellaneous
These Terms constitute the entire agreement between you and WSAPME with respect to the Services. If any provision is found invalid, the remaining provisions remain in full force and effect.
